Overland Park, KS, January 23, 2006 – Jerry Baker & Associates, Inc., mergers and acquisitions consultant based in Overland Park, Kansas announces that it was involved in concluding a transaction between its client RCS Management Corporation of Carmel, Indiana and The Riverside Company of Cleveland, Ohio. The deal is structured as a recapitalization whereby the management and staff of RCS Management will continue to operate the business in this fast paced healthcare industry.
RCS is a nationwide leader in providing oxygen, respiratory supplies, durable medical equipment and Bio Med services for institutions and homecare. The company provides service to over 800 institutions including nursing homes, prisons and hospices in twelve states along with also owning four HME operations in three states.
Jerry Baker, president of JB&A, said that as an integral part of the transaction, Kevin Merritt, the majority stockholder of RCS Management, will continue as president of the recapitalized business and will serve on the board of directors. Mr. Merritt has been involved in the respiratory/durable medical equipment industry since 1974 when he began as a respiratory therapist. After the Balanced Budget Act of 1998, Merritt recognized an opportunity to provide respiratory services to skilled nursing facilities and has grown rapidly over the past several years to become the largest private company of its nature.
